Clients retain sole authority regarding interview invitations, hiring decisions, compensation, employment terms, and continued employment.

 


7.3 Background Verification

Clients remain solely responsible for:

employment contracts;

compensation;

disciplinary actions;

termination decisions.

AlstraMed does not supervise placed candidates unless expressly agreed in a separate written contract.

 


8. CANDIDATE RESPONSIBILITIES

use candidate information for purposes unrelated to recruitment;

retain candidate information longer than reasonably necessary, except as permitted by law;

circumvent agreed contractual obligations regarding candidate introductions.

Clients are expected to implement reasonable safeguards to protect candidate information from unauthorized access, disclosure, or misuse.

10. INTELLECTUAL PROPERTY RIGHTS

These decisions remain solely the responsibility of the client organization.

 


22. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless AlstraMed, its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, damages, liabilities, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

your use of the Services;

your violation of these Terms;

your violation of applicable law;

infringement of intellectual property rights;

misuse of candidate information;

submission of false or misleading information;

unauthorized access to the website;

negligent or intentional misconduct.

This indemnification obligation survives termination of these Terms.

 


23. SUSPENSION AND TERMINATION

AlstraMed reserves the right to suspend, restrict, or terminate access to the website or Services at any time where reasonably necessary to protect its business, users, clients, candidates, or systems.

 


23.1 Grounds for Suspension

Grounds may include:

breach of these Terms;

fraudulent activity;

unlawful conduct;

security threats;

unauthorized access attempts;

misuse of confidential information;

violation of intellectual property rights;

disruption of website operations.

 


23.2 Effect of Termination

Termination may result in:

suspension of website access;

removal of user accounts;

deletion of user-submitted content where appropriate;

cancellation of pending Services;

enforcement of contractual rights.

Termination does not affect rights or obligations that accrued prior to termination.

 


24. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws specified in the applicable written agreement between AlstraMed and the client.

For users accessing the public website without a separate written agreement, these Terms shall be governed by the laws of the jurisdiction in which the applicable AlstraMed contracting entity is organized, without regard to its conflict of law principles.

Nothing in these Terms limits any mandatory consumer protection rights that cannot legally be waived.

 


25. DISPUTE RESOLUTION

The parties agree to attempt to resolve disputes promptly and in good faith before initiating formal legal proceedings.

 


25.1 Informal Resolution

Before commencing litigation, either party should provide written notice describing the nature of the dispute and allow the other party a reasonable opportunity to resolve the matter through good-faith discussions.

 


25.2 Jurisdiction

Unless otherwise provided in a separate written agreement, any legal proceeding relating to these Terms shall be brought before the courts having jurisdiction over the applicable AlstraMed contracting entity.

Nothing prevents AlstraMed from seeking temporary, preliminary, or permanent injunctive relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other legal rights.

 


26. FORCE MAJEURE

AlstraMed shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control.

Such events may include:

natural disasters;

fire;

flood;

pandemic;

epidemic;

governmental action;

labor disputes;

civil unrest;

terrorism;

war;

internet outages;

cyberattacks;

utility failures;

failures of third-party service providers.

Performance shall resume as soon as reasonably practicable after the event has ceased.

 


27. CHANGES TO THESE TERMS

AlstraMed may modify these Terms from time to time to reflect:

legal developments;

regulatory changes;

new Services;

technological developments;

operational improvements;

business changes.

Material revisions will be reflected by updating the "Last Updated" date at the beginning of these Terms.

Where required by applicable law, additional notice may be provided before changes become effective.

Continued use of the website or Services after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable written agreements between AlstraMed and its clients, constitute the entire agreement governing the use of the website and Services and supersede all prior understandings relating to the subject matter herein.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Failure by AlstraMed to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available under applicable law.
